Legal Agreement for Using the PACS Application
Definition & Agreement
Please read these Terms of Use carefully. By accessing and/or using the PACS application (“Platform”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms, along with our Privacy Policy, which is incorporated by reference.
If you do not agree, do not use the Platform.
If you are using the Platform on behalf of an organization (e.g., a hospital or clinic), you represent that you have authority to bind that organization.
We may modify or discontinue features of the Platform at any time without prior notice. Your continued use indicates acceptance of updated terms.
Note: This Agreement contains a Binding Arbitration and Class Action Waiver section that affects your legal rights.
Right to Access & Use
PACS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for managing medical imaging, reporting, and collaboration.
You may not:
- Reverse-engineer or decompile the system.
- Modify or copy parts of the Platform.
- Use PACS to build a competing service.
- Circumvent security protections.
- Store or export patient data outside of intended PACS functions.
Violation may result in termination of your account without notice.
Authorized Users
- Only your staff (Authorized Users) with valid login credentials may use the Platform.
- Login credentials are personal and must not be shared.
- You are responsible for all activities performed under your account.
- We may disable accounts if suspicious or unauthorized activity is detected.
Use of Personal Information
Use of personal and patient information is governed by our Privacy Policy and, where applicable, HIPAA / HITECH compliance rules.
Ownership & Intellectual Property
- PACS software, interfaces, and content remain the property of the company.
- Unauthorized reproduction, distribution, or public display is prohibited.
- Trademarks, logos, and branding may not be reused without written consent.
Your Data
Your Data includes uploaded studies, reports, and related notes.
- You retain ownership of all medical data you upload.
- By using PACS, you grant us a license to process, store, and secure Your Data in order to provide services.
- Protected Health Information (PHI) is processed in compliance with a Business Associate Agreement (BAA) where applicable.
- De-identified and aggregate data may be used for analytics, optimization, and improving PACS features.
Data Retention
Study data may be retained according to your organization’s retention policy or as required by law.
Deleted studies and reports may remain in encrypted archives for compliance or backup purposes.
Fees & Payments
- Certain PACS plans may include subscription fees.
- Fees are billed monthly or annually and are non-refundable.
- Payment processing is handled through secure third-party processors.
- Failure to pay may result in suspension or termination of services.
Platform Rules
By using PACS, you agree NOT to:
- Upload malicious code, viruses, or disruptive scripts.
- Use PACS for unlawful or competitive purposes.
- Access the system via automated tools (bots, scrapers).
- Violate the privacy rights of patients or other users.
Restrictions
The Platform is intended for healthcare professionals 18 years or older.
You are responsible for ensuring compliance with local medical regulations in your jurisdiction.
Feedback
We welcome feature requests and suggestions.
No Warranties; Limitation of Liability
- The PACS Platform is provided “as is” and “as available.”
- We disclaim all warranties, including fitness for a particular purpose and uninterrupted availability.
- The Platform is not a substitute for professional medical judgment.
- You are responsible for all diagnoses and treatment decisions based on imaging data.
- Liability is limited to the greater of $100 or three months of fees paid.
External Sites
PACS may link to third-party systems (e.g., EHR/EMR). We are not responsible for their content or policies.
Representations & Warranties
You confirm that you have obtained necessary patient consents and authorizations for uploading, storing, and sharing imaging data in PACS.
Indemnification
You agree to indemnify PACS against claims resulting from misuse of the Platform, unauthorized disclosures, or violations of this Agreement.
Compliance with Laws
- PACS is based in the United States and complies with U.S. healthcare privacy regulations.
- Users outside the U.S. are responsible for ensuring compliance with their own country’s laws.
Term & Termination
- Access continues for the length of your subscription.
- We may suspend or terminate accounts that violate these Terms.
- Certain provisions (ownership, data use, compliance) survive termination.
Binding Arbitration
- Disputes will be resolved via binding arbitration under the Federal Arbitration Act.
- No jury trials will be permitted.
Class Action Waiver
You may only bring claims individually, not as part of a class or representative action.
Equitable Relief
We may seek injunctive relief to prevent misuse of our intellectual property.
Governing Law
- This Agreement is governed by the laws of the State of [Your Jurisdiction].
- Disputes will be heard exclusively in courts located within that state.
Miscellaneous
- This Agreement is the entire contract between you and PACS.
- Failure to enforce any part does not constitute a waiver.
- The Agreement benefits successors, assigns, and licensees.
